This document, prepared by the Fund’s General Partner (Manos Capital Management, LLC), provides an overview of the Fund, the biographies of the Fund managers, and certain disclosures about the Fund’s strategy, structure and prospects.Section IX of the PPM includes a summary of the terms and conditions of the offering of limited partnership interests in the Fund. Section X sets forth certain risk factors associated with an investment in the Fund. Section XI describes certain conflicts of interest and related party transactions. Please feel free to contact the Fund managers (Sylvia Flores, Jessica Chin Foo and Priscilla Townshend) or the undersigned with any questions regarding the PPM or any other aspect of the Fund. The Limited Partnership Agreement sets forth the rights, privileges and obligations of you and each other Limited Partner with respect to the Fund. The Limited Partnership Agreement also describes the authority of the General Partner to manage the Fund, and the compensation payable to the General Partner for such services. Sylvia, Jessica and Priscilla are the Board of Managers for the General Partner.

The Subscription Documents include the Subscription Agreement and Special Power of Attorney. Please note in particular Section 7 of the Subscription Agreement which includes a broad power of attorney for the General Partner to make, execute and record certain documents on your behalf in connection with the Fund, including the Limited Partnership Agreement. The Subscription Documents also contain a number of forms and consents for you to read, complete and/or execute in connection with your subscription to the Fund. One of the items required pursuant to the Subscription Agreement is a Request for Taxpayer Identification Number. For US individual or entity investors, this is the Form W-9 included in the Signature Packet (see item 6 below). If you are a non-US investor, please let me know if you are investing as an individual or through an entity and I will send you the appropriate form of W-8 (to provide in place of a W-9). Upon acceptance by the General Partner of your subscription, you will wire the first 20% “drawdown” of your total commitment amount. Wire Transfer Instructions to the Fund’s account are attached in case you would prefer to pay this amount by wire transfer.
